Extensive financial, legal, commercial, management and infrastructure experience

The Babcock & Brown Investor Services Limited (BBIS) Board of Directors, comprising the Chairman and four* Directors, has extensive financial, legal, commercial, management and infrastructure experience.  Three* of the BBIS Directors, including the Chairman, are Independent Directors.  Four* of these five* are also directors of Babcock & Brown Infrastructure Limited (as noted below).

*On 15 September 2008, BBI announced that as previously indicated to the market, Phil Green formally resigned from the Boards of Babcock & Brown Infrastructure Limited, Babcock & Brown Investor Services Limited and BBI EPS Limited. BBI has confirmed that it intends to replace Mr Green with an Independent Director. The Boards are in the process of identifying a suitable independent replacement for Mr Green.

Dr Hamill is a Non-Executive Independent Director of BBIL and BBIS.

Dr Hamill was appointed Acting Chairman of BBIL and BBIS in June 2008 and his appointment as Chairman of both entities was confirmed on 25 August 2008.

Dr Hamill is a member of the Audit & Risk Committee and the Compliance Committee. Dr Hamill is Chairman of the Australian Red Cross Blood Service, Chairman of Ripley Town Holdings and Envirogen Pty Limited and Deputy Chairman of the Queensland Museum Board.

Dr Hamill was Treasurer of Queensland from 1998 to 2001, Minister for Education from 1995 to 1996, and Minister for Transport and Minister Assisting the Premier on Economic and Trade Development from 1989 to 1995. He retired from the Queensland Parliament in February 2001.

Dr Hamill has a Bachelor of Arts with honours from the University of Queensland and a Master of Arts from Oxford University and a Doctorate of Philosophy from the University of Queensland. He is a Fellow of the Chartered Institute of Transport and a Fellow of the Australian Institute of Company Directors.


Jeff Kendrew

Mr Kendrew was appointed to the office of Managing Director of BBIL on 12 November 2008.

Mr Kendrew was appointed as BBI’s acting CEO in June 2007, an appointment which was made permanent in October 2007. From August 2005 until his appointment as acting CEO, Mr Kendrew served as BBI’s Chief Operating Officer – Energy. In this role Mr Kendrew had supported the acquisition team for a number of BBI’s assets and was responsible for their integration.

Prior to joining BBI, Mr Kendrew was employed at Powerco, as General Manager, Corporate Development with responsibility for mergers, acquisitions and other strategic initiatives. Prior to that, Mr Kendrew was the General Manager, Operations for Wairarapa Electricity Limited.

Mr Kendrew is a graduate member of Australian Institute of Company Directors and a member of Electrical Engineers NZ. He also holds a Bachelor of Engineering (Electrical) from the University of Canterbury in NZ and an MBA (Technology Management) from Deakin University.

Mr Hall is a Non-Executive Independent Director of BBIL & BBIS.

Mr Hall is a Director of Funds SA. Until his retirement in 1999, Mr Hall was Deputy Managing Director of AMP Asset Management Australia Limited. He is a former Director of the Bellambi Coal Company Limited, Coal Mines Australia Limited, Drayton Coal Pty Limited, Equatorial Mining Limited and United Energy Limited.

Mr Hall has a Bachelor of Economics from Sydney University. He is a Fellow of the Institute of Chartered Accountants in Australia, CPA Australia, the Chartered Secretaries Australia and the Australian Institute of Company Directors.

Barry Upson

BBIL & BBIS

Mr Upson is a Non-Executive Independent Director of BBIL & BBIS.

He is Chairman of the Audit & Risk Committee and the Compliance Committee. Mr Upson was Chairman of Powerco Limited until its 100% acquisition by BBI.

He brings with him extensive experience in the energy distribution sector and, in particular, 11 years of experience and knowledge of the Powerco business.

Mr Upson was an Executive Director, including four years as Managing Director, of a publicly listed non-ferrous metal extrusion company operating from New Zealand. He has held directorship roles in several companies over the past 12 years, including roles as Chairman.

Mr Upson is a Chartered Accountant and Business Adviser based in New Plymouth, NZ. He is a member of the Institute of Chartered Accountants of NZ and a Fellow of the Institute of Directors in NZ.
